Terms of Service

Last updated

These terms cover your use of Payd: this website, the Payd dashboard, and the checkout pages Payd runs for your store. By creating an account or using Payd, you agree to them.

1. What Payd is

Payd is software. It gives your Shopify store a checkout page that takes payment through your own Whop account, and it writes paid orders back into your Shopify store.

Payd is not a bank, a payment processor, a money transmitter or a merchant of record. Payd never receives, holds or moves your money or your buyers' money. Card details are entered into Whop's payment form, not Payd's, and Payd never sees full card numbers.

Whop processes the payments and is the merchant of record for them. Whop's own terms apply to those payments: its seller terms to you and its buyer terms to your buyers. Whop sets and decides its fees, payout times, reviews, reserves, holds, refunds and disputes. Payd doesn't control those decisions.

2. Your account

  • You need to be at least 18 and able to enter into these terms. If you use Payd for a business, you accept these terms for that business, and “you” means both of you.
  • Keep your login details safe and your account details accurate. You're responsible for what happens in your account.
  • During the beta, sign-up is by invitation. We can stop sign-ups or turn off invite links at any time; accounts already created keep what these terms give them.

3. Price and lifetime access

Payd is free during the beta. Payd earns through Whop's partner program: when you connect Whop, Payd becomes your Whop business's partner and Whop pays Payd a share of the fees Whop already charges. Your Whop fees don't change because of it.

We may charge for Payd later. If we do, we'll tell you by email or in your dashboard at least 30 days before any charge applies, and nothing is charged without your agreement.

Lifetime access. If you created your account through a member's invite link, or with a founding-member invite code, your account has lifetime access: you won't pay a Payd subscription, whatever Payd charges later. It lasts for as long as Payd offers the service and your account follows these terms, and it stays with your account (it can't be sold or transferred). Fees charged by others still apply, such as Whop's processing and payout fees and your Shopify plan.

4. Your store and your responsibilities

  • You run your store and your business: your products, prices, descriptions, shipping, fulfillment, refunds, customer service, and the taxes you collect and pay. Payd applies the tax setting you choose; it doesn't give tax, legal or financial advice.
  • You follow the laws that apply to your business, and the terms of Shopify, Whop and any other service you connect to Payd.
  • You don't use Payd to sell anything illegal or anything Whop doesn't allow, to mislead buyers, or to take payments for someone else's business.
  • You don't try to break, overload, copy or get around Payd or its security, or reach data that isn't yours.
  • You let Payd use what you add (your store name, logo, colors, products and settings) only to run your checkout and your account.

5. Shopify

Payd isn't affiliated with, endorsed by or approved by Shopify. You connect Payd through an app you create in your own Shopify admin, and that app is bound by Shopify's terms.

Shopify's API License and Terms of Use (last updated October 7, 2026) say that, without Shopify's express written authorization, an app may not use an alternative to Shopify Checkout for checkout or payment processing for Shopify merchants, or register transactions through the Shopify API in connection with it. Shopify's terms for merchants also ask stores to use Shopify Checkout for sales through their online store. Payd works this way and doesn't have that authorization.

Shopify may limit or remove the app you created, or take action on your store. Payd can't prevent that and isn't responsible for it. Using an outside checkout is your decision. You can pause Payd at any time, and buyers are back on Shopify checkout.

6. Whop

  • You need your own Whop account, approved by Whop for card payments. Whop decides whom it accepts.
  • Payd uses your Whop API key to set up your checkout product, take payments, release test holds, issue the refunds you ask for, send tracking and receive payment updates.
  • Money from your sales goes to your Whop balance. Whop sets its fees, payout times, reviews, reserves and holds, and Payd isn't responsible for them.

7. Your data and your buyers' data

The Privacy Policy explains what Payd stores, why and for how long. Your store data stays yours: Payd uses it only to run your checkout and your account, and to support you.

Your buyers are your customers. Make sure your store's privacy policy covers your checkout and the services behind it, including Payd and Whop.

8. Availability and changes to Payd

Payd is in beta. We work to keep it running, but it can be unavailable, have errors, or change. We may add, change or remove features.

If we decide to shut Payd down, we'll tell you at least 30 days before, so you can move your checkout back to Shopify.

9. Pausing, leaving and suspension

  • You can pause your checkout, remove the install line, delete a store in its Settings, or delete your whole account in Account, at any time.
  • We may suspend or close an account that breaks these terms, puts buyers or others at risk, or where the law requires it. Where it's reasonable, we'll tell you first and give you a chance to fix it.
  • The sections on warranty, liability, claims about your store and the general terms keep applying after your account ends.

10. No warranty

Payd is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows. We don't promise that Payd will be uninterrupted or error-free, that Shopify or Whop will keep allowing it, or any sales or business result.

11. Limitation of liability

To the extent the law allows:

  • Payd isn't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sales, data or goodwill.
  • Payd isn't liable for what Shopify, Whop or other third parties do, including limiting an app or a store, holding or reserving funds, or declining payments.
  • Payd's total liability for all claims about the service is limited to the greater of what you paid Payd in the 12 months before the claim, or US$100.

Some places don't allow these limits. Where that's the case, they apply as far as the law allows.

12. Claims about your store

If someone makes a claim against Payd because of your store, your products, your use of Payd, or your breaking these terms or the law, you'll cover Payd's reasonable costs and losses from that claim.

13. Changes to these terms

We may update these terms. The date at the top shows the latest version. For a significant change we'll tell you by email or in your dashboard at least 30 days before it applies. If you keep using Payd after that, the new terms apply; if you don't agree, you can stop using Payd.

14. General

  • These terms and the Privacy Policy are the whole agreement between you and Payd about the service.
  • If part of these terms can't be enforced, the rest still applies. Not enforcing a part right away doesn't mean we give it up.
  • You can't transfer your account or these terms without our agreement. We may transfer them if Payd is sold or merged, and these terms keep applying.
